What is a Delaware SPV? LLC vs LP, Taxes and Annual Compliance

By aama.io Fund Operations Team · Last reviewed

A Delaware SPV is a special purpose vehicle, usually an LLC or limited partnership formed in Delaware, that pools investors into a single investment. It is generally taxed as a partnership, pays Delaware a flat annual tax, files a federal partnership return and issues a Schedule K-1 to each investor.

Key facts

Usual formDelaware LLC; LP also common
Default US taxPartnership with two or more investors; no entity-level federal tax
Delaware annual chargeFlat $300 tax for an LLC or LP, due June 1; no annual report
Federal returnForm 1065, with a Schedule K-1 per investor
Non-US investorsW-8 collection and possible withholding and reporting
AdministrationInvestor register, capital accounts, calls, distributions, K-1 support

How it works

  1. Form the entity. A registered agent files the certificate of formation. The operating agreement then sets the economics: contributions, carry, expense reserve and the distribution waterfall.
  2. Raise from investors. Investors complete subscription documents, KYC/AML and a tax form (W-9 or W-8), and fund their commitment. The securities exemption relied on is a legal question for counsel.
  3. Invest, report and file. The SPV makes the investment, keeps a capital account per investor, reports quarterly, pays the Delaware annual tax and files the partnership return each year.
  4. Distribute and wind down. Proceeds are distributed through the waterfall, final returns and K-1s are filed, and a certificate of cancellation closes the entity.

Worked example: A $1.5M SPV with 20 investors, two of them non-US

A deal lead forms a Delaware LLC to invest $1.5M in a US company. Eighteen investors are US persons; two are non-US. The SPV holds shares in a C-corporation and has no operating business of its own.

Delaware annual tax$300 by June 1
Federal returnForm 1065 plus 20 Schedule K-1s
Tax forms to collect18 × W-9, 2 × W-8
Likely extra filingsForms 1042 / 1042-S if US-source income is withheld on; 8804 / 8805 only if effectively connected income arises

The count that drives the workload is investors, not dollars: every extra investor adds a K-1, a tax form and a capital account to reconcile.

Common mistakes

  • Forgetting the June 1 Delaware tax because the SPV has no activity.
  • Not telling investors the K-1 will arrive after an extension, usually in September.
  • Collecting W-8 and W-9 forms after the first distribution has already been paid.
  • Relying on a series LLC to ring-fence assets without checking that banks and counterparties will respect it.

The Singapore and APAC angle

Singapore and Asia-based sponsors often use a Delaware SPV for US deals. The sponsor’s own licensing in Singapore is a separate question for MAS rules, and the Delaware vehicle does not change it. Non-US investors in the SPV will need W-8 forms and may face US withholding.
